1. Acceptance

Through the use of Sitter Seeker, parents and childcare providers can meet and communicate with each other. This service is provided by Eyesis, Box 27, Warren, Manitoba R0C 3E0.

This is a contractual agreement between you and the Sitter Seeker service and staff. You must read and understand this agreement before registering. By registering, you become a member of the Sitter Seeker service and you agree to be bound by the terms and conditions of this agreement for as long as you continue to be a member. If you do not agree to the terms, please do not register. The terms of this agreement are subject to change by Sitter Seeker at any time, effective upon notice to you.

2. Registration and Security

To interact with the Site you must register on the Site. During the registration process, you must provide certain personal information as prompted to do so by the registration process. You must maintain and update such information in order to keep it current, complete, and accurate. If Sitter Seeker discovers that any such information is not current or is incomplete or inaccurate, Sitter Seeker may immediately terminate your right to access and interact with the Site. As part of the registration process, you will assign a password to your account. You must carefully safeguard your password. You are solely responsible for any and all activities that occur under your account. You agree to immediately notify Sitter Seeker staff of any unauthorized use of your password or account or any other breach of security known to you, including if you believe that your password has been stolen or that your account has otherwise been compromised.

3. Use of Information and Services

Sitter Seeker believes that parents and advisors are the best judges for their children. Our role at Sitter Seeker is to provide parents, childcare professionals and other interested persons with tools they can use in fulfilling these duties. When using the tools Sitter Seeker provides, please keep in mind the following:

The childcare providers listed on the Sitter Seeker service, including the Directory and in hosted websites, are listings only and are not recommendations or referrals. The information provided by Sitter Seeker is believed to have come from reliable sources, including the individuals and facilities themselves or those sources open to the public. However, the individuals and facilities shown are listings only. In no way does Sitter Seeker, any Site partners, or any sponsors endorse, license, nor otherwise recommend individuals and centers found on the Site. The Site exists as a resource for parents and others. It is in not intended as a recommendation of any kind. Sitter Seeker encourages you, and provides you with the tools, todirectly contact the providers and their references for the most accurate information. The tools Sitter Seeker provides, including the Parent and Sitter Ratings, come from the public community and are not a representative of the viewsof Sitter Seeker or its partners. Sitter Seeker reserves the right to impose limitations on the number of searches in a given time period to help ensure that the information is used only for personal, non-commercial purposes.

The information (including without limitation advice and recommendations) and services on the Site are intended solely as a general educational aid. They are neither medical nor health care advice nor a substitute for medical or other professional advice or service from a qualified health care provider. 3. Restrictions and Acceptable Use of Online Material

As a member, you acknowledge and agree as follows:

• Your membership is for your own sole, personal use.
• You may not authorize others to use your membership, and you may not assign or otherwise transfer your account to any other person or entity.
• You are solely responsible for the content of information you publish or display ("post") on the Service or transmit to other Members.
• You will not display or transmit to other Members any content that is defamatory, inaccurate, abusive, obscene, profane, offensive sexually oriented, threatening, harassing, racially offensive or illegal, or any material that infringes or violates another's rights (including but not limited to intellectual property rights and rights of privacy and publicity).
• You will not include in your profile or account any of the following:
• 1. Offensive anatomical or sexual references
  2. Offensive sexually suggestive or connotative language
  3. Any information that is solicitous of any type of product or service
• You will not engage in advertising to or solicitation of other members to buy or sell any products or services through the Sitter Seeker service.
• You will not transmit any chain letters or junk email to other Members.
• You will not post, distribute or reproduce any copyrighted material, trademarks or other proprietary information without obtaining the prior consent of the owner of such proprietary rights.
• You are solely responsible for your own interactions with other Members. Sitter Seeker reserves the right but is under no obligation or duty to monitor disputes between you and other Members.
• Your usage of the Sitter Seeker service must be in a manner consistent with all applicable provincial and federal laws and regulations.
• Sitter Seeker reserves the right, but has no obligation, to reject and suspend any profile or photo for any reason whatsoever.

You agree to defend, indemnify and hold harmless Sitter Seeker, its officers, directors, employees, agents and third parties, from any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use and activities while using the Sitter Seeker service, including any breach by you of the terms of this Agreement.

5. Termination of Membership

This Agreement and your membership may be terminated by either party at any time for any reason. Sitter Seeker reserves the right to immediately suspend or terminate your access to the Sitter Seeker service, without notice, upon your breach of any of the terms of this Agreement.

6. Confidentiality of Information

Sitter Seeker will keep confidential all information supplied by you to Sitter Seeker, including credit card number(s), and shall use or disclose such information only for the purposes for which such information was collected, or as required by law.

7. Content of Online Material

Opinions, advise, statements, offers, or other information or content made available through the Sitter Seeker service are those of their respective authors and not of Sitter Seeker, and should not be relied upon. Such authors are solely responsible for their content. Sitter Seeker does not guarantee the accuracy, completeness or usefulness of any information on the service and neither adopts nor endorses nor is responsible for the accuracy or reliability of any opinion, advice or statement made. under no circumstances will Sitter Seeker be responsible for any loss or damage resulting from anyone's reliance on information or other content posted on the service or transmitted to other members.

8. Off-site Links and Third Party Content

The Sitter Seeker web site may provide links to other Web sites or resources. Because Sitter Seeker has no control over the content provided by such Web sites, you acknowledge and agree that Sitter Seeker is not responsible for the availability of external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You also acknowledge and agree that Sitter Seeker shall not be held responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

9. Notice to Members

It is possible that other Members or users (including unauthorized users) may post or transmit offensive or obscene materials on the service and that you may be involuntarily exposed to such offensive or obscene materials. It is also possible for others to obtain personal information about you due to your use of the service, and that the recipient may use such information to harass or injure you. Because of these concerns, please carefully select the type of information that you post on the service or release to others. Sitter Seeker is not responsible for the use of any personal information that you may choose to disclose on the service.

Sitter Seeker reserves the right, but has no obligation, to monitor the materials posted in the public areas of the Sitter Seeker service. Sitter Seeker shall have the right to remove any such material that violates or is alleged to violate any law or this Agreement. Notwithstanding this right, you remain solely responsible for the content of the materials you post in the public areas of the service and your private Email messages. Emails sent between you and other Members that are not readily accessible to the general public will be treated as private by Sitter Seeker to the extent required by applicable law. Private content may be reviewed by Sitter Seeker if cause has been established for such an action, based on reports or suspicion of violation of terms and conditions of this agreement.

10. Proprietary Rights

Sitter Seeker owns and retains other proprietary rights in the Sitter Seeker service. The service contains the copyrighted material, trademarks and other proprietary information of Sitter Seeker. In addition, other Members may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted. Except for that information which in the public domain or for which you have been given permission, you will not copy, modify, publish, transmit, distribute, perform, display or sell any such proprietary information.

By posting information or content to any public area of the Sitter Seeker service, you automatically grant, and you represent and warrant that you have the right to grant, to Sitter Seeker and the other Members an irrevocable, perpetual, non-exclusive, fully- paid, worldwide license to use, copy, perform, display and distribute such information and content and to prepare derivative works of or incorporate into other works such information and content, and to grant and authorize sublicenses of the foregoing.

11. Disclaimer of Warranty

THE SITTER SEEKER SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SITTER SEEKER MAKES NO REPRESENTATION OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITE, OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS, INCLUDED ON THIS SITE. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, SITTER SEEKER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SITTER SEEKER DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE MATERIALS IN THIS SITE IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY OR OTHERWISE. UNDER NO CIRCUMSTANCES INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL SITTER SEEKER OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING THE SITE BE LIABLE FOR ANY LOST PROFITS OR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNATIVE DAMAGES THAT RESULT FROM THE USE OF OR INABILITY TO USE THE SITE, INCLUDING BUT NOT LIMITED TO RELIANCE BY YOU ON ANY INFORMATION OBTAINED FROM THE SITE OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION, OR UNAUTHORIZED ACCESS TO OUR RECORDS, PROGRAMS OR SERVICES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Limitation of Liability

Sitter Seeker disclaims all liability, regardless of the form of action, for the acts or omissions of other members or users (including unauthorized users) of the Sitter Seeker service. In no event will Sitter Seeker be liable:

1. To you for any incidental, consequential or indirect damages (including but not limited to damages for loss of data, loss of programs, cost of procurement of substitute services or service interruptions) arising out of the use of or inability to use the Sitter Seeker service, even if Sitter Seeker or its agents or representatives known or have been advised of the possibility of such damages; or
2. To any person other than you.

13. Privacy

Sitter Seeker's Privacy Policy is available here and is hereby incorporated in this User Agreement.

14. Amendments

Sitter Seeker may amend these Terms and Conditions at any time either by posting the amended terms on the Site or by providing notice directly to you. All amended terms will automatically be effective 5 days after they are initially posted on the Site. Accordingly, you agree to periodically review these and Conditions, and your continued access to or use of the service shall be deemed your acceptance of the modified Terms and Conditions. These Terms and Conditions may not be otherwise amended except in a writing signed by you and Sitter Seeker.
